Partner Agreement

Venue Partner Agreement

This Agreement ("Agreement") is entered into between Midan ("Company") and the Venue Owner ("Partner") listed on the Platform. Effective Date: March 26, 2026

1Definitions

Platform
The Midan application, website, and all associated booking tools.
Venue
The sports court or facility listed by the Partner on the Platform.
Booking
Any completed booking request from a User via the Platform to use the Partner's facility.
Commission
The percentage of each Booking value retained by the Company as a service fee, set at 10% of the net booking value.
Dashboard
The venue management interface on the Platform used by the Partner.

2Scope of Agreement & Services

Under this Agreement, Midan provides the Partner with the following services:

  • Listing the Venue and making it discoverable to Users via the Midan Platform.
  • Processing bookings and electronic payments on behalf of the Partner.
  • Sending WhatsApp notifications and alerts to Players with booking details.
  • Providing a management dashboard to control schedules, pricing, and availability.
  • Technical support for the Partner and Users related to their bookings.

3Venue Listing Requirements

The Partner warrants that the listed Venue meets all of the following requirements:

  • ·Full legal registration and possession of all required licenses and permits from competent government authorities in the Sultanate of Oman.
  • ·Compliance with applicable health and safety requirements.
  • ·Accuracy and continuous updating of listed information (pricing, availability, facilities, photos).
  • ·Provision of a service standard to Users that is consistent with what is advertised on the Platform.
  • ·Adherence to prices listed on the Platform; no charging Users additional amounts outside the Platform.

4Commission & Payments

Agreed Commission Rate

10%

of the net value of each completed Booking

  • ·Commission is calculated on the net booking value (pre-tax).
  • ·Partner payouts are transferred weekly via bank transfer, within 3 business days from the end of each week.
  • ·Fully refunded bookings are deducted from the Partner's weekly payout.
  • ·Detailed statements are provided with each payout showing bookings, commissions, and refunds.
  • ·Payments are subject to VAT in accordance with applicable tax regulations in the Sultanate of Oman.

5Booking Management & Cancellations

  • ·The Partner commits to accepting and fulfilling all confirmed bookings made through the Platform.
  • ·If the Partner cancels a confirmed booking, the Partner bears the cost of a full refund to the User plus an administrative service fee of 5% of the booking value.
  • ·Repeated booking cancellations by the Partner are prohibited; this may result in listing suspension or Agreement termination.
  • ·Any emergency circumstances (court malfunction, force majeure) must be reported immediately via the Dashboard or technical support.
  • ·The Partner is required to respond to Platform booking inquiries within 4 working hours.

6Quality Standards & Compliance

  • ·Midan reserves the right to review User ratings of the Venue and conduct periodic field inspections.
  • ·Should a Venue maintain an average rating below 3.5 stars for 30 consecutive days, Midan may temporarily suspend the listing pending remediation.
  • ·The Partner is responsible for the cleanliness, maintenance, and safety of the Venue in accordance with applicable legal requirements.
  • ·Any material change in the Venue or its management requires written notification to Midan within 5 business days.

7Data & Privacy

  • ·Midan and the Partner share booking data necessary to operate the service (user name, phone number, booking time).
  • ·The Partner commits to not using User data for any commercial or marketing purpose outside the agreed service scope.
  • ·The Partner may not share User data with third parties without explicit written consent from Midan.
  • ·Both parties commit to the Personal Data Protection Law of the Sultanate of Oman.

8Branding & Intellectual Property

  • ·Midan grants the Partner a limited, non-exclusive license to use the Midan logo and name solely to promote the partnership, in accordance with brand guidelines.
  • ·The Partner retains all intellectual property rights to their own brand and facility.
  • ·Neither party may claim ownership of the other party's trademarks or content.

9Representations & Warranties

The Partner represents and warrants that:

  • ·They have full legal authority to enter into and perform this Agreement.
  • ·The Venue is legally registered and licensed to operate its sports activity.
  • ·There are no pending lawsuits or legal restrictions preventing the Venue's operation.
  • ·All information provided to Midan is truthful, complete, and not misleading.

10Term & Termination

  • ·This Agreement takes effect from the date of Partner acceptance and continues for one year, automatically renewable for another year unless notice of termination is given 30 days before expiry.
  • ·Either party may terminate this Agreement with 30 days prior written notice.
  • ·Midan may terminate the Agreement immediately without notice in the following cases: material breach of this Agreement, loss of license, documented fraud or misconduct.
  • ·Upon termination, all outstanding financial entitlements are settled within 14 business days.

11Liability & Indemnification

  • ·Midan bears no responsibility for injuries or damages occurring within the Venue; this liability rests entirely with the Partner.
  • ·The Partner is required to obtain adequate public liability insurance covering the Venue's activity.
  • ·The Partner indemnifies Midan against any claims, losses, or legal expenses arising from the Partner's breach of this Agreement or negligence.
  • ·Midan's total liability to the Partner shall not exceed the commissions paid in the three months preceding the claim.

12Force Majeure

Neither party shall be deemed in breach of its obligations if performance is prevented by circumstances beyond its reasonable control, such as natural disasters, pandemics, or government decrees, provided the other party is notified in writing within 48 hours of the event.

13Governing Law & Dispute Resolution

  • ·This Agreement is governed by and construed in accordance with the laws of the Sultanate of Oman.
  • ·In the event of any dispute, both parties shall seek amicable resolution within 30 days.
  • ·If amicable resolution fails, the dispute shall be referred to commercial arbitration under the rules of the GCC Commercial Arbitration Centre, with Muscat as the seat of arbitration and Arabic as the governing language.

14Entire Agreement & Amendments

  • ·This Agreement constitutes the entire agreement between the parties and supersedes any prior agreements or understandings.
  • ·Amendments to this Agreement are only effective if made in writing and signed by both parties or electronically accepted via the Platform.
  • ·If any provision of this Agreement is declared invalid by a competent authority, the remaining provisions remain in full force.

The Partner's acceptance of this Agreement via the Platform constitutes a legally binding electronic signature pursuant to the Electronic Transactions Law of the Sultanate of Oman.
